These Terms of Service ("Terms") are an agreement between you and Aaron Booker (professionally known as Elijah Booker), the Ohio sole proprietor operating Source-E ("Source-E," "we," "our," or "us"). By accessing or using the website, applying, purchasing a subscription, accepting a match, or using a dashboard or other service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Source-E.
Source-E is a matchmaking and transaction-facilitation platform connecting content creators and businesses ("Creators") with independent specialist service providers ("Shadow Operators"). Source-E may vet applicants, recommend matches, provide communication and project tools, facilitate payments, and offer administrative dispute assistance. Source-E is not an employer, staffing agency, talent agent, fiduciary, insurer, law firm, or party to any work agreement between users.
You must be at least 18 years old and capable of forming a legally binding contract to use Source-E. By using our services, you represent and warrant that you meet these requirements.
Paid Pro and Elite plans are subscriptions billed through Stripe at the price and interval shown at checkout. Unless stated otherwise at checkout, subscriptions automatically renew until canceled. By subscribing, you authorize Stripe and Source-E to charge the selected payment method for each renewal, plus applicable taxes.
For a transaction facilitated through Source-E, each party's membership status contributes a side rate to one total platform application fee:
The two applicable side rates are added, so a deal between two Standard members currently produces a 10% total fee, two Pro members 7.5%, and two Elite members 5%; mixed tiers produce a blended rate. The price and fee shown in the platform or transaction record control if they differ from this general summary. Each user is responsible for reviewing fees before authorizing a transaction and for their own taxes.
Source-E uses Stripe Connect to process all payments between Creators and Operators:
Creators and Operators must agree between themselves on scope, deliverables, timing, revision limits, ownership, confidentiality, payment milestones, cancellation, and any refund terms. Source-E templates or generated suggestions are starting points only and are not legal advice or a substitute for the parties' contract.
Users should report a work dispute promptly through the available dashboard or by email and, where possible, within seven days after the disputed delivery or event. Source-E may review records and offer neutral administrative assistance, but does not guarantee mediation, a refund, recovery, or any particular outcome and does not act as an arbitrator between users. This user-to-user process is separate from legal disputes with Source-E under Section 17.
Recurring strategy calls are an Elite member benefit and are subject to availability. Source-E may separately offer a one-time complimentary Blueprint Guest Pass. A Guest Pass requires email verification, is limited to one confirmed booking per person, is not a Free or Pro subscription benefit, and has no cash value. A signed Cal.com booking webhook must confirm the booking before the pass is treated as used. Source-E may withdraw, reschedule, or refuse a Guest Pass where fraud, duplicate use, or misuse is reasonably suspected.
Creators and Operators are independent from Source-E and from each other. Nothing in these Terms creates employment, partnership, joint venture, franchise, agency, fiduciary, or exclusive representation. Users control how and when their work is performed, subject to their own agreement, and may not make commitments or representations on behalf of Source-E. Each user is responsible for complying with labor, classification, licensing, advertising, privacy, tax, and other laws applicable to their activity.
You agree not to:
Where enabled, attachments are private uploads for the Source-E conversation in which they are submitted. They are not a public-sharing, public-profile, directory, or publication feature. You may not expose, redistribute, or use another person's private attachment except as authorized by the conversation, the applicable work agreement, or law. Recipients remain responsible for protecting files they can access after download.
Uploads are subject to automated malware and content-safety scanning and, when necessary, human moderation or security review. Supabase may process the file and related metadata as Source-E's storage and database provider. A scan can quarantine, reject, delay, remove, or restrict an upload; no scan guarantees that a file is safe or suitable. Source-E may preserve limited moderation and security evidence, respond to reports or legal process, and cooperate with authorities where reasonably necessary.
Do not upload executables, scripts, macros, software installers, archives or compressed bundles, disk images, password-protected or encrypted files, malware, or unsupported formats. Do not disguise a prohibited file as another type, evade scanning, or upload a file that is unlawful, defamatory, abusive, deceptive, sexually exploitative, invasive of privacy, or likely to harm a person or system. Source-E may publish supported-type and size limits in the upload interface and may reject anything it cannot safely inspect.
You must own or have permission to upload and share every file, and you must respect copyright, trademark, trade-secret, confidentiality, privacy, publicity, and other rights. A report about malware, abuse, infringement, privacy, or unsafe content may be sent to sourcee4u@gmail.com with enough information to locate the material. We may remove or restrict reported content, notify affected users when appropriate, and suspend repeat or serious violators. Copyright complaints should identify the protected work, the allegedly infringing upload, the complainant's contact details, and a good-faith statement; we may remove content and take action against repeat infringers.
Attachments are retained only as reasonably needed to provide the conversation, protect the service, investigate reports and disputes, satisfy legal or accounting duties, and maintain backups. When a verified deletion request covers an attachment, Source-E will remove the original and generated derivatives where its storage architecture permits, but provider backups, moderation or security records, and a copy kept by another participant may remain under the Privacy Policy. Deleting a message or account does not authorize deletion of another user's independently retained copy.
You retain ownership of content you submit. You grant Source-E a non-exclusive, worldwide, royalty-free license to host, copy, process, format, display, and share that content only as reasonably necessary to operate, secure, improve, and provide the service, including application review, matching, communications, payment support, and dispute administration. You represent that you have the rights and permissions needed to submit the content and grant this license.
Information identified as confidential or that a reasonable person would understand to be confidential may be used only for the match, project, or platform purpose for which it was disclosed, except with permission or as required by law. Users should enter a separate nondisclosure agreement when their project requires additional protection.
Ownership of work product is determined by the Creator and Operator's written agreement. If they agree to no different terms, ownership transfers to the Creator only upon full payment, excluding the Operator's pre-existing tools, templates, know-how, and third-party materials. Source-E claims no ownership of user work product merely because the parties met through the platform.
Source-E's name, logos, site design, software, and original platform materials are owned by Source-E or its licensors and may not be copied or used without permission. Copyright concerns may be sent to sourcee4u@gmail.com with identification of the work, the allegedly infringing material, contact information, and a good-faith statement. We may remove content or suspend repeat infringers where appropriate.
Reviews and testimonials must reflect genuine experience and may not be fabricated, purchased, conditioned on positive sentiment, or misleading. Users must disclose material relationships when required. Source-E may moderate or remove content but is not obligated to pre-screen every communication. Any earnings, revenue, audience-growth, or performance example is illustrative, not a promise that you will achieve the same result.
Our Privacy Policy explains how personal information is handled, including application review, AI assistance, matched-user disclosures, payments, scheduling, and optional advertising measurement. By submitting information about another person, you represent that you are authorized to do so.
Source-E is provided "as is" without warranties of any kind. We do not guarantee:
Users must independently evaluate each other, proposed terms, and professional advice. Nothing on Source-E is legal, tax, financial, employment, or investment advice. Some jurisdictions do not allow certain warranty exclusions, so these exclusions apply only to the extent permitted by law.
To the maximum extent permitted by law, Source-E shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including loss of profits, data, or business opportunities. Our total liability to you shall not exceed the fees you paid to Source-E in the 3 months preceding the claim.
Source-E may suspend or terminate access for a violation of these Terms, fraud or security risk, payment failure, legal requirement, harm to users or the platform, or discontinuation of the service. You may stop using Source-E or request account closure at any time. Provisions that by their nature should survive—including payment obligations, licenses needed for retained records, ownership, disclaimers, liability limits, and dispute terms—survive termination.
Before initiating formal proceedings, both parties agree to attempt good-faith resolution by contacting Source-E at sourcee4u@gmail.com and allowing 30 days for a response. If unresolved and to the extent permitted by applicable law, disputes shall be settled by binding arbitration administered by the American Arbitration Association (AAA). The AAA Consumer Arbitration Rules and applicable consumer fee schedule govern a dispute involving a consumer; the AAA Commercial Arbitration Rules govern other disputes. Arbitration may occur by telephone, video, documents, or in Columbus, Ohio, as the applicable rules and arbitrator permit. Each party bears its own legal fees unless the applicable rules, law, or arbitrator provide otherwise. Nothing in this clause prevents either party from seeking injunctive or emergency relief in a court of competent jurisdiction.
This section applies to disputes between you and Source-E, not to disputes solely between a Creator and Operator. To the extent permitted by law, arbitration proceeds only on an individual basis and not as a class, consolidated, coordinated, or representative action. Any non-waivable right to bring an eligible individual claim in small-claims court is preserved. If applicable law gives you a non-waivable right to pursue a claim in another forum, that right controls.
You may opt out of this arbitration agreement by emailing sourcee4u@gmail.com within 30 days after first accepting these Terms, using the subject “Arbitration Opt-Out” and identifying the email address associated with your Source-E activity. Opting out does not affect access to the service or the remaining Terms. Arbitration and class-action terms affect legal rights; consult qualified counsel if you do not understand them.
These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict-of-law principles. This choice does not deprive a consumer of any non-waivable protection under the law of the state or country where that consumer resides. For matters not subject to arbitration under Section 17, the parties consent to the state and federal courts located in Franklin County, Ohio, except where applicable law gives a consumer a non-waivable right to bring a claim in another court or forum.
These Terms, the Privacy Policy, and any checkout or transaction terms presented to you form the agreement between you and Source-E concerning the service. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Source-E's failure to enforce a provision is not a waiver. You may not assign your rights without our consent; Source-E may assign these Terms with a business transfer or by operation of law. We are not responsible for delay caused by events beyond reasonable control. Headings are for convenience only.
We may update these Terms as the service or law changes. Material changes apply prospectively and will receive notice where required. Your continued use after the effective date constitutes acceptance, but changes do not retroactively alter a dispute that arose before the change.
